PLEASE READ THESE TERMS CAREFULLY BEFORE USING ACQUILINGUA. BY CREATING AN ACCOUNT OR USING OUR SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE OUR SERVICES.

1. About AcquiLingua

AcquiLingua is the trade name (DBA) under which NextThing LLC, a Delaware Limited Liability Company operates an AI-powered language learning platform. Our website, mobile applications, and related services are collectively referred to as the “Services.”

Throughout these Terms, “AcquiLingua,” “we,” “us,” and “our” refer to NextThing LLC, a Delaware Limited Liability Company d/b/a AcquiLingua.

2. Acceptance of Terms

By accessing or using any part of the Services, creating an account, or purchasing a subscription, you represent that you have read, understood, and agree to be bound by these Terms and Conditions (“Terms”), our Privacy Policy, and any additional guidelines incorporated herein by reference. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Description of the Services

AcquiLingua provides AI-assisted language-learning tools, including conversational AI practice, vocabulary support, proficiency tracking, personalized learning experiences, peer and tutor video chat sessions, and related features accessible via our website and mobile applications.

4. Eligibility and Age Requirements

You must be at least 18 years old to create an account or use the Services. By using the Services, you represent and warrant that you are at least 18 years of age. We do not knowingly collect personal information from anyone under the age of 18. If we become aware that a user is under 18, we will promptly deactivate the account and delete associated personal information. Contact us at support@acquilingua.com if you believe a person under 18 has registered.

5. Account Registration and Security

Account Creation

To access most features, you must register for an account. You agree to provide accurate, current, and complete information and to update it as needed. You may not create an account on behalf of another person without their consent, or create multiple accounts to circumvent usage limits.

Authentication

We use Amazon Web Services Cognito (“AWS Cognito”) as our authentication provider. By creating an account, you agree to be subject to AWS’s applicable terms as they relate to identity and access management.

Account Security

You are solely responsible for all activity under your account. You agree not to share your login credentials with any third party. Notify us immediately at support@acquilingua.com if you suspect unauthorized access to your account.

Account Deletion

You may request account deletion at any time by contacting support@acquilingua.com. Self-service account deletion is not currently available in account settings. Requests will be processed within 30 days. Certain information may be retained for legal or legitimate business purposes as described in the Privacy Policy.

6. Device Permissions

Microphone

Voice-based conversation features require access to your device’s microphone. Audio is transmitted for real-time speech-to-text processing by AcquiLingua and third-party providers (see Section 12). You may revoke microphone permission at any time in your device settings, which will disable all voice conversation features.

Camera

Video chat features require access to your device’s camera. Camera access is used solely for live video sessions and is not used for passive monitoring, facial recognition, or photography. You may revoke camera permission at any time in your device settings, which will disable video chat functionality.

Location (GPS)

We may request optional access to your approximate location to provide region-appropriate content, assist in peer matching, and comply with jurisdictional requirements. Location access is not required to use the core Services and may be revoked at any time in your device settings.

7. Subscriptions and Payments

Plans

AcquiLingua offers free and paid subscription tiers. Paid plans are available on a monthly, semi-annual (every 6 months), or annual basis, as described on our pricing page.

Payment Processing

All payments are processed through Stripe, Inc. When you subscribe to a paid plan, you will be redirected to Stripe’s secure payment interface. We do not store your full payment card details on our servers. By providing payment information, you also agree to Stripe’s Terms of Service and Privacy Policy at stripe.com.

Automatic Renewal

Paid subscriptions auto-renew at the end of each billing period at the then-current price unless you cancel before the renewal date. We will send a reminder email prior to any renewal.

Failed Payments

If a payment fails, we will notify you by email. We may allow a brief grace period during which you can update your payment information and retain access to paid features. After the grace period expires, access to paid features will be suspended until payment is resolved. We reserve the right to cancel a subscription after repeated payment failures.

Plan Changes

Upgrades to a higher-tier plan take effect immediately; you will be charged a prorated amount for the remainder of your current billing period. Downgrades to a lower-tier plan take effect at the start of your next billing cycle. You will retain your current tier’s features until then.

Price Changes

We reserve the right to modify subscription prices with at least 30 days’ advance notice via email or in-app notification. Continued use after a price change constitutes acceptance.

Taxes

Prices listed do not include applicable sales, value-added, or other government-imposed taxes, which may be added at checkout based on your jurisdiction.

8. Free Trial and Free Usage

Free Trial

We may offer a free trial period for new subscribers from time to time. Unless you cancel before the trial ends, your payment method will automatically be charged the applicable subscription fee when the trial concludes. Each person is eligible for only one free trial. We reserve the right to modify or discontinue free trials at any time.

Free Usage and Credits

We may offer limited free usage tiers, credits, or promotional access. Free usage limits may change, expire, or be discontinued at any time at our sole discretion. Free credits and trial access have no monetary or cash value, cannot be transferred, sold, gifted, or redeemed, and are not refundable. Circumventing free usage limits by creating multiple accounts or other means is a violation of these Terms and may result in account termination.

9. Cancellation

You may cancel your subscription at any time through your account settings or by contacting support@acquilingua.com. Cancellation takes effect at the end of your current billing period, and you retain access to paid features through that date. Canceling does not delete your account. Subscriptions purchased through Google Play must be cancelled through the Play Store per its policies.

10. Refund Policy

7-Day Refund for New Subscribers

New subscribers may request a full refund within 7 days of their initial paid subscription purchase, provided they have not made substantial use of paid features (including paid AI conversation sessions, video chat sessions, or other premium features). To request a refund, contact support@acquilingua.com with your account email and purchase date.

After 7 Days or Substantial Use

After 7 days, or upon substantial use of paid features, subscription fees are non-refundable. “Substantial use” means meaningful engagement with paid features beyond initial exploration.

Renewals

Subscription renewals are non-refundable. Cancel before the renewal date to avoid the next charge.

Annual Plans

Annual subscribers who request a refund within 7 days of the annual charge with minimal usage may receive a refund at our discretion.

EU/EEA Statutory Withdrawal

If you are a consumer in the European Economic Area or United Kingdom, you have the statutory right to withdraw from a subscription within 14 days of purchase. Where you have expressly consented to immediate service delivery and acknowledged waiver of withdrawal rights, a proportionate charge may apply. Contact support@acquilingua.com to exercise this right.

Google Play Purchases

Purchases through Google Play are subject to Google’s refund policies and must be requested through that platform.

Exceptions

Nothing herein limits your statutory rights under applicable law. We reserve the right to issue refunds on a case-by-case basis for documented technical failures preventing access to the Services.

11. Fair Usage and Resource Limits

AcquiLingua’s AI conversation, voice, and video features are subject to fair use limits. Specific limits per subscription tier (daily message counts, audio processing minutes, video session duration) are described on our pricing page and may be updated with advance notice.

Reasonable Use

Reasonable use means usage consistent with an individual human user engaging in genuine language learning. Accounts exhibiting patterns consistent with automation, scripted interactions, API abuse, bulk data collection, or commercialized resale will be subject to throttling, suspension, or termination.

Resource Throttling

If you exceed plan usage limits in a given period, access to certain features may be throttled or paused until the next billing cycle. Plan upgrades are available at any time.

Abuse Prevention

We reserve the right to impose additional limits on any account at our sole discretion to protect platform performance, prevent abuse, or comply with third-party provider requirements including AI API policies.

12. AI-Powered Features and Third-Party AI Services

Powered by Large Language Models

AcquiLingua uses OpenAI’s ChatGPT and/or other large language models (LLMs) to power conversational language learning. By using these features, you acknowledge that your inputs may be processed by OpenAI or other third-party AI providers under their respective terms. Please review OpenAI’s Terms of Service and Privacy Policy at openai.com/policies, as use of our AI features constitutes agreement with applicable OpenAI policies.

Third-Party LLM Data Retention

Third-party AI providers such as OpenAI process your inputs under their own Terms of Service and Privacy Policies, which may allow them to retain data independently for safety, abuse prevention, or other purposes. AcquiLingua does not control this. We encourage you to review those policies at openai.com/policies.

Speech-to-Text and Text-to-Speech

AcquiLingua uses Deepgram and/or other third-party speech processing providers for speech-to-text (STT) and text-to-speech (TTS) functionality. When you use voice features, your audio input is transmitted to these providers for real-time transcription. AcquiLingua does not store raw audio recordings. Review Deepgram’s privacy policy at deepgram.com/privacy.

Our AI Is a Language Practice Companion, Not a Source of Truth

IMPORTANT: AcquiLingua’s AI is designed for conversational language practice, a partner for “talking story,” not a factual reference. The AI may generate responses that are inaccurate, outdated, culturally imprecise, or entirely fabricated. AcquiLingua makes no representation that any AI-generated content is accurate, current, complete, or reliable. Do not rely on AI-generated content for medical, legal, financial, historical, or any other factual matter. The AI is a language practice tool only. Nothing generated constitutes professional advice of any kind.

Conversation Data

AcquiLingua processes conversation text and voice input to provide AI-powered language practice. We do not provide a permanent user-visible conversation-history feature, but for reliable delivery, retry protection, duplicate-request handling, and service security we may temporarily retain chat-turn response payloads and associated technical metadata. Completed chat-turn records are marked to expire approximately 24 hours after completion. Expiration does not mean immediate physical deletion; expired records may remain in the active database while asynchronous TTL deletion is completed. The chat-turn database currently uses a 14-day point-in-time recovery window, so historical table states containing chat-turn records may remain recoverable within that recovery period. AcquiLingua does not store raw audio recordings as part of normal AI conversation operation. We may also retain account-linked learning and usage metrics as described in our Privacy Policy. Third-party AI and speech providers process conversation data under their own terms and privacy policies.

AI Content Policy

You may not use AI features to generate illegal, abusive, hateful, explicit, or otherwise prohibited content. We reserve the right to terminate AI feature access for policy violations.

13. Video Chat and Peer or Tutor Sessions

Feature Description

AcquiLingua may offer video chat features connecting you with language-learning peers or professional tutors, including scheduled tutor office hours. These sessions take place within the AcquiLingua platform.

Session Monitoring

You acknowledge and consent that AcquiLingua may monitor video chat sessions to enforce our Community Guidelines and safety policies. Monitoring may be conducted by automated systems or human reviewers. Sessions flagged for policy violations may be recorded for review. All session participants are subject to this policy.

User Ratings and Review Standards

After sessions, users may rate and review their experience. Ratings must be honest, fair, and comply with our Community Guidelines. Fraudulent, retaliatory, coordinated, or malicious reviews are strictly prohibited.

Penalties for Poor Ratings and Rating Abuse

Users who accumulate consistently low ratings may have video chat access temporarily limited or permanently revoked at AcquiLingua’s sole discretion. Users found submitting fraudulent or retaliatory reviews are subject to:

Decisions regarding video chat restrictions are made by AcquiLingua and are final. To appeal, contact support@acquilingua.com within 14 days of the restriction.

Prohibited Conduct in Sessions

14. Confidentiality

Session Confidentiality

Personal information, contact details, or identifying information shared by other users during sessions is confidential. You may not share, publish, screenshot, record, or distribute any such information outside the AcquiLingua platform without that user’s express consent.

Platform Confidentiality

You agree not to disclose, copy, or distribute any non-public information about the AcquiLingua platform you learn through use of the Services, including proprietary features, pricing structures, algorithmic logic, or internal business operations.

Tutor Non-Solicitation

Tutors and peers connected through AcquiLingua agree not to solicit users for paid instruction, meetings, or commercial transactions conducted outside the platform. Circumventing the platform to avoid AcquiLingua’s fees or establish off-platform commercial relationships is a material breach of these Terms and may result in immediate account termination.

15. User-Generated Content

By submitting any content to the Services, you grant AcquiLingua a non-exclusive, worldwide, royalty-free, sublicensable license to use, display, and distribute such content solely in connection with operating and improving the Services. You retain ownership of your content. You represent that any content you submit does not violate applicable law or third-party rights.

16. Intellectual Property

All content, design, software, branding, and materials constituting the Services are owned by AcquiLingua or licensed to us and are protected by applicable intellectual property laws. Our proprietary features including Language-by-Emoji™ are protected trademarks and intellectual property of NextThing LLC, a Delaware Limited Liability Company. You may not copy, reproduce, distribute, modify, or create derivative works from any portion of the Services without our express written permission.

18. Third-Party Services and External Links

The Services integrate with and may redirect you to third-party services including, without limitation: Stripe (payments), Amazon Web Services Cognito (authentication), Google Analytics (analytics), Google AdSense and AdMob (advertising), Deepgram (STT/TTS), OpenAI (AI conversation), YouTube, Facebook/Meta, and X/Twitter. These services are governed by their own terms of service and privacy policies. AcquiLingua is not responsible for the practices or content of any third-party service.

19. Advertising

The Services may display advertisements served by Google AdSense (on our website) and Google AdMob (on our native mobile applications). These services may use cookies and similar tracking technologies to serve ads, potentially based on your browsing history and usage patterns, subject to Google’s policies and your applicable privacy settings.

Users on paid subscription tiers may have a reduced or ad-free experience as described in their plan. We do not serve behavioral or targeted advertising to users under 18.

20. Email Communications and Notifications

Types of Communications

Opting Out

You may opt out of marketing emails at any time via the “Unsubscribe” link in any such email or through your notification preferences. Transactional and security emails cannot be unsubscribed from while your account is active.

No Sale of Email Addresses

We will never sell, rent, or trade your email address to third parties for their own marketing purposes.

21. Service Changes and Availability

AcquiLingua provides the Services on an “as available” basis. We do not guarantee uninterrupted access, specific response times, or continuous availability of any feature. We reserve the right to modify, suspend, or discontinue any feature, AI model, third-party provider integration, pricing, or other aspect of the Services at any time, with or without notice, and without liability to you.

22. Account Suspension and Termination

Termination by You

You may stop using the Services and delete your account at any time. Termination does not entitle you to a refund of any prepaid subscription fees, except as provided in our Refund Policy.

We may suspend or terminate your account, with or without notice, if you:

Effect of Termination

Upon termination, your right to access the Services ceases immediately. Sections of these Terms that by their nature should survive termination will survive, including intellectual property, confidentiality, limitation of liability, indemnification, and dispute resolution.

Your privacy is important to us. Our Privacy Policy, incorporated herein by reference, describes how we collect, use, and protect your personal information. By using the Services, you consent to the data practices described in our Privacy Policy, available at acquilingua.com/privacy.

24. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED, ERROR-FREE OPERATION. ACQUILINGUA MAKES NO WARRANTY THAT AI-GENERATED CONTENT IS ACCURATE, RELIABLE, COMPLETE, OR FIT FOR ANY PARTICULAR PURPOSE. NO LEARNING OUTCOMES ARE GUARANTEED. SOME JURISDICTIONS DO NOT ALLOW EXCLUSION OF IMPLIED WARRANTIES.

25. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ACQUILINGUA, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR LOSS OF GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL ACQUILINGUA’S TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS EXCEED THE GREATER OF (A) THE TOTAL AMOUNTS YOU PAID TO ACQUILINGUA IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100.00). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIABILITY LIMITATIONS.

26. Indemnification

You agree to indemnify, defend, and hold harmless AcquiLingua, NextThing LLC, a Delaware Limited Liability Company, and their respective officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys’ fees) arising out of or relating to: (a) your violation of these Terms; (b) your use of the Services; (c) content you submit; or (d) your violation of any law or the rights of a third party.

27. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

28. Dispute Resolution and Arbitration

Informal Resolution

Before initiating formal proceedings, contact us at support@acquilingua.com to attempt informal resolution. We will try to resolve disputes within 30 days of receiving written notice.

Binding Arbitration

If informal resolution fails, any dispute arising from these Terms or your use of the Services shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration may take place in person in Dover, Delaware, or remotely as agreed. The arbitrator’s decision shall be final and binding.

Class Action Waiver

YOU AND ACQUILINGUA AGREE THAT EACH MAY BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS ACTION. If this waiver is found unenforceable, the entire arbitration provision shall be null and void.

Exceptions

Nothing herein prevents either party from seeking emergency injunctive relief to prevent irreparable harm pending arbitration. Nothing herein affects non-waivable consumer protection rights under applicable law.

29. Changes to These Terms

We reserve the right to modify these Terms at any time. For material changes, we will provide at least 30 days’ advance notice via email and/or in-app notification. For non-material changes, we will update the “Last Updated” date. Continued use after any changes constitutes acceptance.
